Foreclosure and field work pays the bills.

Most revenue comes from services for mortgage servicers: inspecting and preserving homes, foreclosure trustee work, title and valuations. Hubzu, its auction site, and Lenders One, a lender cooperative it manages, are the next biggest. Software is small.

The moat, in three parts
  1. 1
Locked-in work from its former parent
Onity's services agreements run through August 2030 and carry a most favored nation clause. Onity can only exit early on a change of control to a competitor, from Sept 2028.

The fact is the filing's. The read, in italics, is ours.

    Good

Its biggest customer went from 42% to 24% of revenue in a year.

Onity was 24% of Q3 2026 revenue, down from 42%. Revenue from customers other than Onity and Rithm grew 96% and is now 72% of service revenue. A new servicer brought $7.0M in the quarter.

Altisource was spun out of Ocwen (now Onity) and lived on it for years. That dependence is finally breaking, which makes the company less fragile, though the new work earns thinner margins.

Rithm walked away from two deals.

The Rithm brokerage agreement expired Aug 31, 2025 and was not renewed. Rithm also ended its subservicing with Onity from Jan 31, 2026, moving loans Altisource worked on. Rithm revenue fell to $0.3M in Q3 from $1.5M.

New customers have so far more than covered the loss, per the company. The Rithm work is mostly gone now, so further damage should be small.

Its lenders now own most of the company.

In the Feb 2025 debt exchange, lenders received about 63.5% of the common stock. UBS holds about 22%, Benefit Street about 16% and Deer Park about 13%, and all three are lenders under its loans.

The people owed the money also control the vote. That can align interests, but it also means big decisions, such as a sale, rest with a few funds.

Interest still eats more than the business earns.

Q3 operating income was $0.8M against $2.2M of interest expense. The loans float at 10.33%, $154.1M is due Apr 30, 2030, and 75% of excess cash flow must prepay debt.

Growth is real, but almost all the cash it makes goes to lenders for years. Expect tight budgets until the debt is refinanced.

It is buying back its own debt at 76 cents on the dollar.

    Altisource repurchased $2.0M of term loan in Q2 and $0.9M in Q3 2026, both at a 23.7% discount, booking a $1.0M gain.

Cheap for Altisource, but the discount itself shows lenders price its loans well below full value.

The 2025 profit came from a tax reversal.

Net income attributable to Altisource was $1.6M in 2025, on a $14.1M pretax loss. The difference is a $16.1M tax benefit, mostly a $9.6M reversed foreign tax reserve plus $9.0M of related interest.

The underlying business lost money before tax in 2025. Do not read the small profit as a turnaround.

A $7.5M fair housing settlement, with insurance in dispute.

Altisource booked a $7.5M loss in Q4 2025 for settling National Fair Housing Alliance v. Altisource Solutions over how REO homes were kept and marketed. One insurer disputes coverage. It is also answering unnamed government inquiries.

Settled with no admission of liability. The open questions are whether insurance pays and what the government inquiries turn into.

Warrants for 14.3M shares sit over 11.4M shares outstanding.

Stakeholder warrants issued in Apr 2025 cover about 14.3M shares at $9.5998 each, expiring 2029 and 2032. Shares were consolidated 1 for 8 in May 2025. Insiders bought stock at $5.18 to $5.60 in Jul and Aug 2026.

The warrants only matter if the stock rises well above where insiders were buying. If they are exercised, shareholders are more than doubled in number.

The CEO, a director and a lender bought stock this summer.

CEO William Shepro bought 4,000 shares at $5.18 on Jul 28, 2026. Director Matthew Winkler bought 2,000 at $5.60 on Aug 20. Benefit Street bought 50,000 more around $5.43 to $5.78.

Small amounts, but open-market buying by insiders is a vote of confidence. A director also sold his warrants in August.

$2.1 billion of Luxembourg tax losses, valued at zero.

Altisource has about $2.1B of Luxembourg operating losses, a $498.9M deferred tax asset that is fully reserved. They expire 2034 to 2042.

On paper a large shield against future tax. The full reserve says management does not expect enough Luxembourg profit to use it.

The signals, and which way they push.

  1. Tailwind
    Foreclosures are climbing back.

Industry foreclosure starts rose 20% and foreclosure sales 17% in the eight months to Aug 2026, still below 2019. Hubzu auction inventory went from 4,000 to 22,900 in a year.

  2. Tailwind
    New customers are arriving.

Q3 wins worth an estimated $9.0M a year once stable, and a weighted pipeline of $27.8M to $34.7M. Non-Onity, non-Rithm revenue grew 96%.

  3. Headwind
    Debt service takes the cash.

$167.8M of loans at 10.33%, a 75% cash sweep, and a $30M minimum cash level before the sweep applies.

  4. Headwind
    New work pays less.

Business segments earned 22.8% of service revenue in Q3 2026, down from 27.5%. Company adjusted EBITDA margin slipped to 8.5% from 9.1%.

  5. Headwind
    Mortgage originations are soft.

Industry loan volume fell 6% in Q3 2026, with refinancings down 8%. Origination is about a fifth of revenue.

Our calls, not facts. Each one is tied to something that already happened, so you can judge the reasoning.

  1. 1

By 2031 Onity is under a fifth of Altisource's revenue.

    Likely 72%Customers

Onity fell from 42% to 24% of revenue in a single year as other customers grew 96%. The Onity contracts run to 2030 but carry a price-matching clause.

  2. 2

Altisource refinances or restructures its loans again before the April 2030 maturity.

    Likely 72%Debt

$154.1M falls due on Apr 30, 2030, at a floating 10.33%. It already swapped $232.8M of debt for new loans and stock in 2025.

  3. 3

Altisource is sold, merged or taken private by 2033.

    Coin flip 50%M&A

Three lender funds own roughly half the stock and would decide a sale. Onity's agreements give it exit rights if Altisource is sold to an Onity competitor, which narrows the buyers.

  4. 4

Revenue grows while headcount stays near 1,200, with AI doing work offshore staff do today.

    Coin flip 50%AI

Most of its people do process work in India, the kind AI document tools target. Management already credits AI with speed, but has given no headcount or savings figures.

Altisource earns $45M a year of adjusted EBITDA by 2031.

    Long shot 16%Growth

That is its own Project 45 target for late 2028. Nine months of 2026 produced $13.1M, down 8%, so it needs to roughly triple.
