A monthly fee per enrolled worker, plus the rails around it.
Employers set a monthly health budget; employees pick an individual plan and own it, and leftover money sits on a Thatch card for care like therapy or prescriptions. Thatch's public price for firms under 50 eligible staff is $45 per enrolled employee a month plus a $50 monthly compliance fee. Larger firms get custom pricing. It also sells an API so payroll and HR platforms can embed it. It does not publish a revenue split.

ICHRA is now called CHOICE, by agency decision.
CMS employer guide, modified Sep 10, 2026; PeopleKeep, Sep 4, 2026On Sep 3, 2026 CMS and the SBA began calling ICHRAs CHOICE Arrangements. The 2019 rules did not change. CMS's guide sets the limits: up to 10 employee classes, and the oldest worker's amount at most 3x the youngest's.
Federal promotion helps awareness. But a rename by agencies can be undone by the next administration more easily than a law.
- 02Watch
Congress has not made ICHRA permanent.
PeopleKeep, updated Sep 4, 2026CHOICE provisions were cut from the July 2025 budget law. The House-passed Lower Health Care Premiums for All Americans Act would codify it but had not become law as of Sep 2026.
Thatch's whole product depends on a regulation. A new rulemaking is pending at CMS, and its content is unknown.

Individual plans got pricier in 2026.
KFF, May 19, 2026KFF says enhanced ACA tax credits expired at the end of 2025. The average net monthly premium paid rose 58%, from $113 to $178, and sign-ups fell by over a million.
Thatch's employees buy those same individual plans. Higher prices can shrink the savings employers see from switching, though employer budgets, not subsidies, pay most of the bill.

Low barriers and many players. Thatch's edge is distribution through payroll, which rivals can also chase.

Took over a rival's customers.
Thatch, Apr 1, 2026Thatch said on Apr 1, 2026 that Venteur's employers, employees and brokers would move to its platform. Thatch called it an agreement; no price or acquisition was announced.
A sign the ICHRA field is starting to consolidate, with Thatch as a buyer of books, not a seller.

Eli Lilly and Paychex are now investors.
Thatch, Sep 15, 2026; HIT ConsultantEli Lilly and Paychex joined the Series C as new strategic investors; ADP Ventures had joined at the Series B.

What has to be true for $1 billion to hold?
Thatch does not publish revenue, so the starting number is your assumption, not ours. A way to think, not a forecast, and not investment advice.
At 25x, Thatch needs $40 million of revenue to be worth $1 billion. Your world gets there with $78 million, so the next round likely prices above the last.
$100,000 of equity valued at the $1.00B Series C price would be worth about $196,000 on paper in this world, before dilution from new rounds, taxes and vesting. Private shares only turn into cash at a sale, an IPO or a tender offer.

Latham & Watkins, Sep 16, 2026; ThatchThe signals, and which way they push.
- TailwindGroup health costs are jumping.
TechCrunch, citing Mercer, says employer health costs for 2027 are projected to rise over 8%, the most since 2003. A fixed health budget is Thatch's answer.
- TailwindICHRA adoption nearly doubled.
An HRA Council report cited by MedCity counts more than 12,700 employers offering ICHRAs in 2026, up from 6,600 in 2025.
- HeadwindThe market rests on a rule.
ICHRA exists by 2019 regulation; codifying bills have stalled, and a new CMS rulemaking's content is unknown.
- HeadwindIndividual market got costlier.
Enhanced ACA credits expired after 2025 and net premiums paid rose 58%, per KFF. That can blunt the savings pitch.
